Vacation and Other Paid Time Off. Buyer (or its Subsidiary) shall assume any accrued but unused vacation or other paid-time off (“PTO”) for each U.S. Transferred Employee. Seller shall be responsible for all PTO for each Business Employee that is not a Transferred Employee.
