Common use of Validity and Effect Clause in Contracts

Validity and Effect. This Agreement has been duly authorized, executed and delivered by Seller and, assuming the due authorization, execution and delivery by Investor, this Agreement constitutes the valid, legal and binding obligation of Seller, enforceable in accordance with its terms, except to the extent that enforceability may be limited by bankruptcy, insolvency, moratorium or similar laws affecting the enforcement of creditors' rights generally.
