Validity of Representations and Warranties. All representations and warranties by Seller in this Agreement shall be true and correct in all material respects as of the Closing Date.

The representations and warranties of MSA Holdings herein contained shall be true and correct in all respects at and as of the Effective Time, as if made at and as of that time, except as otherwise contemplated or permitted by this Agreement (it being understood that the truth and correctness of any such representations or warranties made as of a specified date shall be determined only as of such specified date); provided that, any event, change or circumstance first arising after the date hereof which may result in a breach of a representation or warranty which is not already qualified by a materiality or MSA Material Adverse Effect standard shall not be taken into account for purposes of determining the satisfaction or failure of this condition unless such event, change or circumstance results in a material breach of such representation or warranty.
