Common use of Vendor's Certificate Clause in Contracts

Vendor's Certificate. The Vendor will have delivered to the Purchaser a certificate of the President and Secretary of the Vendor, dated the Closing Date, certifying in such detail as the Purchaser may specify to the fulfillment of the conditions set forth in sections 10.1 and 10.2. The foregoing conditions are for the exclusive benefit of the Purchaser and any such condition may be waived in whole or in part by the Purchaser at or before Closing by delivering to the Vendor a written waiver to that effect signed by the Purchaser.
