Venue and Submission to Jurisdiction. 11.10.1 To the maximum extent possible under applicable law and rules of civil procedure, each of the parties agrees that any action brought by the Shareholders to enforce their rights under this Agreement or any of the other agreements contemplated hereby shall be brought in the United States District Court for the Northern District of Illinois (Eastern Division) or in the Superior Court of Xxxx County, Illinois. 11.10.2 In order to facilitate the ability of the Shareholders to enforce their rights under this Agreement and other agreements contemplated hereby in accordance with subsection 11.10.1, each of the parties hereby (i) expressly submits himself or itself, as the case may be, for such purpose only, to the personal jurisdiction of the United States District Court for the Northern District of Illinois (Eastern Division) and the Superior Court of Xxxx County, Illinois, and (ii) expressly agrees that the service of process may be had upon such person pursuant to the rules pertaining to service of process contained in the Illinois Long-Arm Statute, Chap. 735 Paragraph 5/2-209 Ill. Comp. Stat. (1997) and the Rules of the Court pertaining thereto. 11.10.3 To the maximum extent possible under applicable law and rules of civil procedure, each of the parties agrees that any action brought by LKQ to enforce its rights under this Agreement, or any of the other agreements contemplated hereby, shall be brought in the United States District Court for the District of New Jersey or in the Superior Court of Camden County, New Jersey. 11.10.4 In order to facilitate the ability of LKQ to enforce its rights under this Agreement and the other agreements contemplated hereby in accordance with subsection 11.10.3, each of the parties hereby (i) expressly submits himself or itself, as the case may be, for such purpose only, to the personal jurisdiction of the United States District Court for the District of New Jersey or the Superior Court of Camden County, New Jersey and (ii) expressly agrees that the service of process may be had upon such person pursuant to the rules pertaining to service of process contained in the applicable New Jersey Long-Arm Statute.

11.10.3 13.10.3 To the maximum extent possible under applicable law and rules of civil procedure, each of the parties agrees that any action brought by LKQ to enforce its rights under this Agreement, Agreement or any of the other agreements contemplated hereby, hereby shall be brought in the United States District Court for the Central District of New Jersey California (Southern Division) or in the Superior Court of Camden CountyCalifornia, New JerseyCounty of Orange; provided, however, that any action brought by LKQ to enforce its rights under Sections 12.1.1 and 12.1.2 shall be brought as provided in Section 13.10.5.
11.10.4 13.10.4 In order to facilitate the ability of LKQ to enforce its rights under this Agreement and the other agreements contemplated hereby in accordance with subsection 11.10.3Section 13.10.3, each of the parties hereby (i) expressly submits himself or itself, as the case may be, for such purpose only, to the personal jurisdiction of the United States District Court for the Central District of California (Southern Division) or in the Superior Court of California, County of Orange and (ii) expressly agrees that the service of process may be had upon such person pursuant to the rules pertaining to service of process contained in the applicable California Long-Arm Statute.
13.10.5 To the maximum extent possible under applicable law and rules of civil procedure, each of the parties agrees that any action brought by a party with respect to Sections 12.1.1 and 12.1.2 of this Agreement shall be brought in the United States District Court for the District of Delaware or in the Delaware Court of Chancery.
13.10.6 In order to facilitate the ability of the Company, the Shareholders and X. XxXxxxx or LKQ, as the case may be, to enforce their rights under this Agreement and other agreements contemplated hereby in accordance with Section 13.10.5, each of the parties hereby (i) expressly submits himself or itself, as the case may be, for such purpose only, to the personal jurisdiction of the United States District Court for the District of New Jersey Delaware or in the Superior Delaware Court of Camden County, New Jersey Chancery and (ii) expressly agrees that the service of process may be had upon such person pursuant to the rules pertaining to service of process contained in the applicable New Jersey Delaware Long-Arm Statute.
