Common use of Vesting and Payment Clause in Contracts

Vesting and Payment. To the extent the performance objectives described in Section 2(b)(i) below (collectively, the “Performance Objectives”) are satisfied as of the completion of the performance period for this Award (the “Performance Period”), this Award will become vested and free of restrictions in accordance with Section 2(b)(ii) below as of the date of the third anniversary of the Grant Date (the “Performance Vesting Date”); provided that the Committee makes the determination referenced in Section 2(b)(iii) below, subject to the provision on Termination of Service below. The Performance Period begins December 1, 2020 and ends November 30, 2023.

To the extent the performance objectives described in Section 2(b)(i2.(b)(i) below (collectively, the “Performance Objectives”) are satisfied as of the completion of the performance period for this Award (the “Performance Period”), this Award will become vested and free of restrictions in accordance with Section 2(b)(iiclause (ii) below below, as of the date of the third anniversary of Committee makes the Grant Date certification referenced in clause (iii) below (the “Performance Vesting Date”); provided that the Committee makes the determination referenced in Section 2(b)(iii) below, subject to the provision on Termination of Service below. The Performance Period begins December 1, 2020 2016 and ends November 30, 20232019 and is also referred to as the “Fiscal Years 2017-2019 Performance Period.”
