Violation of Representations. From the Contract Date to the Closing Date, Seller shall not take any action or omit to take any action which action or omission would have the effect of violating, in any material respect, any of the representations, warranties, or covenants of Seller contained in this Agreement.
Violation of Representations. From the Effective Date until Closing, Sellers shall not knowingly and willfully: take any action or omit to take any action, or permit the applicable Manager or Tenant to take any action or omit to take any action, which action or omission, to Sellers’ knowledge, would have the effect of causing any of the representations, warranties, or covenants of Sellers contained in this Agreement to be untrue in any material respect as of the date such action is taken or omitted except to the extent that such violation would not result in a Material Adverse Effect. Between the Effective Date and the Closing Date, Sellers shall promptly notify Buyer in writing if any Seller acquires actual knowledge of a fact or condition that causes any of the representations and warranties set forth in this Agreement to become untrue or misleading to the extent such fact or condition results in a Material Adverse Effect.
Violation of Representations. Each Party shall indemnify and keep indemnified the other Party against any and all liabilities, obligations, compensations, penalties, awards, lawsuits, expenses, costs and advances imposed on or incurred by or claimed against the other Party arising as a result of or in connection with any inaccuracy of its representations and warranties under Article 6.1 or Article 6.2 (as the case may be) or any breach of or default under an provision or covenant hereunder.

Violation of Representations. From and after the date hereof and until the termination of this Agreement, Owner shall not take any action or omit to take any action which would have the effect of violating any of the representations of Owner contained in this Agreement.

Debts, obligations or liabilities which arise or exist in violation of any of the representations, warranties, covenants or agreements of any Seller contained in this Agreement or in any statement or certificate delivered to Buyer by or on behalf of Seller on or before the Closing Date pursuant to this Agreement or in connection with the transactions contemplated hereby.
Violation of Representations. Debts, obligations or liabilities which arise or exist in violation of any of the representations, warranties, covenants or agreements of AHLE or a Shareholder contained in this Agreement, or in any statement or certificate delivered to MORO by or on behalf of AHLE or a Shareholder on or before the Closing pursuant to this Agreement, or in connection with the transactions contemplated hereby.
Violation of Representations. From and after the date hereof and until the termination of this Agreement, Operator shall not take any action or omit to take any action which would have the effect of violating any of the representations of Operator contained in this Agreement.
Violation of Representations. Debts, obligations or liabilities which arise or exist in violation of any of the representations, warranties, covenants or agreements of OLD RADO or the Shareholder contained in this Agreement, or in any statement or certificate delivered to NEW RADO by or on behalf of OLD RADO or the Shareholder on or before the Closing pursuant to this Agreement, or in connection with the transactions contemplated hereby.
Violation of Representations. From the Contract Date to the Closing Date, Transferors shall not take any action or omit to take any action which action or omission would have the effect of violating, in any material respect, any of the representations, warranties, or covenants of Transferors contained in this Agreement.
