Common use of Voluntary Hold Period Clause in Contracts

Voluntary Hold Period. The Company further acknowledges that the Consideration Shares are subject to voluntary resale restrictions and that any certificate representing the Consideration Shares shall bear the following additional legends until the expiration of the applicable hold period: (i) as to 25% of the Consideration Shares: "THESE SECURITIES ARE SUBJECT TO A VOLUNTARY HOLD PERIOD AND MUST NOT BE TRADED THE SECURITY BEFORE [INSERT DATE THAT IS 6 MONTHS AFTER THE CLOSING DATE]." (ii) as to 25% of the Consideration Shares: "THESE SECURITIES ARE SUBJECT TO A VOLUNTARY HOLD PERIOD AND MUST NOT BE TRADED THE SECURITY BEFORE [INSERT DATE THAT IS 12 MONTHS AFTER THE CLOSING DATE]." (iii) as to 25% of the Consideration Shares: "THESE SECURITIES ARE SUBJECT TO A VOLUNTARY HOLD PERIOD AND MUST NOT BE TRADED THE SECURITY BEFORE [INSERT DATE THAT IS 18 MONTHS AFTER THE CLOSING DATE]."
