Common use of Waiver of Right to Rescind Clause in Contracts

Seller and Buyer acknowledge that if this Agreement is not terminated and the transaction contemplated hereby is closed, the payment of money, as limited by the terms of this Agreement, shall be adequate compensation for breach of any representation, warranty, covenant or agreement contained herein or for any other claim arising in connection with or with respect to the transactions contemplated in this Agreement. As the payment of money shall be adequate compensation, Buyer and Seller waive any right to rescind the transactions contemplated by this Agreement.
