Common use of Waiver; Termination Clause in Contracts

Waiver; Termination. The conditions contained in Section 6.3 are for the exclusive benefit of the Sellers and may be waived by them in whole or in part at any time. If any of the conditions in Section 6.3 are not fulfilled or waived on or before the Closing Date, the Sellers will be entitled to treat this Agreement as terminated and will be relieved of all obligations under this Agreement, except that rights and liabilities of the parties which have accrued prior to termination will subsist.
