WAIVERS, REMEDIES CUMULATIVE. Except as specifically provided in this Agreement, no failure or delay on the part of any Party in exercising any right, power or remedy hereunder and no course of dealing among the Parties shall operate as a waiver by either Party of such right, power or remedy unless the event giving rise to such right, power or remedy no longer exists or has been cured. Except to the extent otherwise expressly provided in this Agreement, all rights, powers and remedies provided hereunder are cumulative and not exclusive of any rights, powers or remedies provided by law or otherwise. Any waiver or any provisions of this Agreement by any Party must be upon the express written agreement of such Party.
