Warranties by TCS. TCS warrants that it will provide the services with due care, skill and diligence and in conformity with the Services described in Annexure A. Each party represents, warrants and covenants to the other that: (i) it is duly organized and validly existing and in good standing under the laws of the state of its incorporation or formation; (ii) it has the full right and authority to enter into and that this Agreement constitutes a legal, valid and binding obligation; and (iii) its execution, delivery and performance of this Agreement does not and will not conflict with, or constitute a breach or default under, its charter of organization, or any contract or other instrument to which it is a party. THE WARRANTIES PROVIDED HEREIN ABOVE BY TCS ARE IN LIEU OF ALL OTHER WARRANTIES, BOTH EXPRESS AND IMPLIED, AND ALL OTHER WARRANTIES, INCLUDING WITHOUT LIMITATION THAT OF MERCHANTABILITY OR FITNESS FOR INTENDED PURPOSE IS SPECIFICALLY DISCLAIMED BY TCS. Notwithstanding anything contained in this Agreement, with respect to any third party software or component including equipments, the warranties, representations, indemnities and other license terms and conditions provided by the concerned third party will apply.
