Webex'x Xxxnsition Team. (a) Webex'x Xxxmanent Hires. Prior to the Closing, Webex xxxll identify those employees (the "Webex'x Xxxmanent Hires") of AI whom Webex xxxires to hire to work in the Poway Facility (or elsewhere) during the Transition Period and thereafter. As of the Closing, Webex'x Xxxmanent Hires shall cease to be employees of AI and shall become employees of Webex. Xx that time, Webex xxxll be solely responsible for paying all salaries, wages and benefits of Webex'x Xxxmanent Hires in accordance with applicable law. Selling Parties shall assist and cooperate with the transition of Webex'x Xxxmanent Hires from AI's payroll to the payroll and benefits systems of Webex. Xxfore the Closing, Webex xxxll give Selling Parties notice of each offer of permanent employment made to AI's employees and the terms thereof, whether accepted or not.
