Common use of Whistleblower Reporting Clause in Contracts

Whistleblower Reporting. No employee of the Company or any of its Subsidiaries, nor any legal counsel representing the Company or any of its Subsidiaries, has reported evidence of a material violation of any Securities Laws, breach of fiduciary duty or similar material violation by the Company or any of its Subsidiaries or their respective officers, directors, employees, agents or independent contractors to the Company’s management, or audit committee (or other committee designated for such purpose) of the Company Board.

Whistleblower Reporting. No employee of the Company or any of its Subsidiaries, nor any legal counsel attorney representing the Company or any of its Subsidiariessubsidiaries, whether or not employed by the Company or any of its subsidiaries, has reported evidence of a material violation of any Securities Laws, breach of fiduciary duty or similar material violation by the Company or any of its Subsidiaries subsidiaries or their respective officers, directors, employees, agents or independent contractors to the Company’s management, or audit committee (or other committee designated for such the purpose) of the Company BoardBoard of Directors or the Board of Directors.
