WITHDRAWAL OF LICENCE. The Licensor and the Licensee agree that: 6.1 This Licence and the rights permitted hereunder can be withdrawn by the Licensor: 6.1.1 Immediately on giving written notice to the Licensee at any time following any failure by the Licensee to observe any of the conditions contained in this Licence; or 6.1.2 giving no less than 14 days’ written notice to the Licensee at any time 6.2 This Licence can be suspended by the Licensor on the following terms: 6.2.1 the Licensor may serve written notice on the Licensee suspending the rights granted by this Licence immediately where the Licensor has requested information from Licensee regarding compliance with the conditions of this Licence and such information has not been supplied within a period that the Licensor considers (at its sole discretion) to be a reasonable period of time; 6.2.2 suspension of the rights granted by this Licence in accordance with clause 6.2.1 above shall last until the outstanding information is provided to the satisfaction of the Licensor; 6.2.3 if the rights granted under this Licence are suspended in accordance with this clause 6.2 the Licensee shall not be permitted to exercise any of the rights under this Licence until the Licensor gives the Licensee written notice that the rights granted under this Licence are reinstated 6.3 The Licensor shall not be liable for any damages arising from the withdrawal of this Licence under 6.1 or the suspension of the licence under 6.2.

If Verizon exercises its right of termination under this Section, the Parties shall negotiate in good faith appropriate substitute provisions for compensation related to traffic; provided, however, that except as otherwise voluntarily agreed by Verizon in writing in its sole discretion, Verizon shall be obligated to provide compensation to CBB related to traffic only to the extent required by Applicable Law. If within thirty (30) days after Verizon’s notice of termination the Parties are unable to agree in writing upon mutually acceptable substitute provisions for compensation related to traffic, either Party may submit their disagreement to dispute resolution in accordance with Section 14 of this Agreement.
