Common use of Withdrawals or Resignations Clause in Contracts

Withdrawals or Resignations. No Member may withdraw or resign from the Company, whether as a result of the Bankruptcy of such Member or as result of any other events specified in Section 18-304 of the Delaware Act. So long as a Member continues to own or hold any Units, such Member will not have the ability to resign as a Member prior to the dissolution and winding up of the Company and any such resignation or attempted resignation by a Member prior to the dissolution or winding up of the Company will be null and void. When any Person who is a Member ceases to own or hold any Units, such Person will no longer be a Member.
