Working Facilities and Expenses. Xxxxxxxxx’x principal place of employment shall be at the Company’s executive offices at the address first above written, or at such other location in the New York metropolitan area as determined by the Board. The Company shall provide Mx. Xxxxxxxxx, at his principal place of employment, with a private office, stenographic services and other support services and facilities suitable to his position with the Company and necessary or appropriate in connection with the performance of his assigned duties under this Agreement. The Company shall provide Mx. Xxxxxxxxx with an automobile suitable to his position with the Company in accordance with its prior practices, and such automobile shall be used by Mx. Xxxxxxxxx in carrying out his duties under this Agreement, including commuting between his residence and his principal place of employment. The Company shall (i) reimburse Mx. Xxxxxxxxx for the cost of maintenance and servicing such automobile and, for instance, gasoline and oil for such automobile; (ii) reimburse Mx. Xxxxxxxxx for his ordinary and necessary business expenses, incurred in the performance of his duties under this Agreement (including but not limited to travel and entertainment expenses); and (iii) reimburse Mx. Xxxxxxxxx for fees for memberships in such clubs and organizations as Mx. Xxxxxxxxx and the Company and such other expenses as Mx. Xxxxxxxxx and the Company shall mutually agree are necessary and appropriate for business purposes, upon presentation to the Company of an itemized account of such expenses in such form as the Company may reasonably require, each such reimbursement payment to be made promptly following receipt of the itemized account and in any event not later than the last day of the year following the year in which the expense was incurred. Mx. Xxxxxxxxx shall be entitled to no less than four (4) weeks of paid vacation during each year in the Employment Period. Mx. Xxxxxxxxx shall be responsible for the payment of any taxes on account of his personal use of the automobile provided by the Company and on account of any other benefit provided herein.

Xxxxxxxxx’x Executive’s principal place of employment shall be at the Company’s executive offices at the address first above written, or at such other location in as the New York metropolitan area as determined by the BoardCompany and Executive may mutually agree. The Company shall provide Mx. Xxxxxxxxx, Executive at his principal place of employment, employment with a private office, stenographic secretarial services and other support services and facilities suitable to his position positions with the Company and necessary or appropriate in connection with the performance of his assigned duties under this Agreement. The Company shall provide Mx. Xxxxxxxxx with to Executive for his exclusive use an automobile suitable owned or leased by the Company and appropriate to his position with the Company in accordance with its prior practicesposition, and such automobile shall to be used by Mx. Xxxxxxxxx in carrying out the performance of his duties under this Agreementhereunder, including commuting between to and from his residence personal residence. The value of the automobile shall not exceed eighty thousand dollars ($80,000.00) and his principal place of employmentshall be replaced when permitted by the Company. The Company shall (i) reimburse Mx. Xxxxxxxxx for the cost of maintenance and servicing such automobile and, for instance, gasoline and oil for such automobile; (ii) reimburse Mx. Xxxxxxxxx Executive for his ordinary and necessary business expenses, incurred in including, without limitation, all expenses associated with his business use of the performance of his duties under this Agreement (including but not limited to travel and entertainment expenses); and (iii) reimburse Mx. Xxxxxxxxx for aforementioned automobile, fees for memberships in such clubs and organizations as Mx. Xxxxxxxxx and the Company and such other expenses as Mx. Xxxxxxxxx and the Company shall mutually agree that are necessary and or appropriate for business purposes, upon presentation to and his travel and entertainment expenses incurred in connection with the performance of his duties under this Agreement, in each case only if such expenses are presented and approved in accordance with the Company’s business reimbursement policy then in effect. Any amounts reimbursable by the Company to Executive under this Section 8 in any one calendar year shall not affect the amount reimbursable in any other calendar year, and the reimbursement of an itemized account eligible expense shall be made within 30 days after delivery of Executive’s respective written requests for payment accompanied with such evidence of fees and expenses in such form incurred as the Company reasonably may reasonably require, each such reimbursement payment to be made promptly following receipt of the itemized account and but in any event not no later than the last day December 31 of the year following after the year in which the expense was incurred. Mx. Xxxxxxxxx shall be entitled to no less than four (4) weeks of paid vacation during each year in the Employment Period. Mx. Xxxxxxxxx shall be responsible for the payment of any taxes on account of his personal use of the automobile provided by the Company and on account of any other benefit provided herein.
