CONTRACT LIMIT AND FEES AND EXPENSES is deleted in its entirety and replaced with the following: “CONTRACT LIMIT, FEES AND EXPENSES. The total amount of fees to be paid by RRC to Contractor under the Contract through the Contract Term shall not exceed ONE MILLION TWO HUNDRED THOUSAND DOLLARS AND ZERO CENTS ($1,200,000.00), the total of which includes the current NTE amount of SIX HUNDRED THOUSAND DOLLARS AND ZERO CENTS ($600,000.00), as approved by RRC Commissioners on September 1, 2020, plus the addition of SIX HUNDRED THOUSAND DOLLARS AND ZERO CENTS ($600,000.00), as approved by RRC Commissioners on August 24, 2021.” Except as expressly amended above, all provisions of the Contract, as amended, remain in full force and effect. CONTRACT LIMIT AND FEES AND EXPENSES. (a) The total amount of this Contract shall not exceed the sum of Eight Hundred Thousand and No/100 Dollars ($800,000.00). Pricing fees shall be invoiced in accordance with Exhibit A, Compensation and Fees (RFP No. 303-2- 00018, Attachment D), attached hereto and incorporated herein for all purposes. Any changes to the not to exceed amount of this Contract or pricing fees set forth in Exhibit A shall be submitted to TFC for review and shall be approved by amendment to this Contract. (b) If, at any time during the term of this Contract, Contractor reduces the comparable price of any article or service covered by the Contract to customers other than TFC, the prices charged to TFC for such articles or services shall also be reduced proportionately. Such reduction shall be effective at the same time and in the same manner as the reduction in price to customers other than TFC. In addition to invoicing at the reduced prices, Contractor shall furnish promptly to TFC complete information regarding the reduction.

Except as expressly amended above, all provisions of the Contract as amended through Amendment No. 4, remain in full force and effect. In the event of a conflict among provisions of the Contract, the order of precedence shall be: this Amendment No. 5; then Amendment No. 4; then Amendment No. 3; then Amendment No. 2; then Amendment No. 1; and then the original Master Service Agreement Contract in accordance with section 1.03.
