Common use of Written Communications Clause in Contracts

Written Communications. Each of the Issuer, PHH and VMS hereby represents and agrees that it (including its agents and representatives, other than the Initial Purchasers in their capacity as such) has not prepared, made, used, authorized, approved or referred to and will not prepare, make, use, authorize, approve or refer to any written communication that constitutes an offer to sell or solicitation of an offer to buy the Securities other than (i) the Preliminary Offering Circular, (ii) the Final Offering Circular and (iii) the documents listed on Annex A, including the pricing term sheet substantially in the form of Annex B, which constitute part of the Time of Sale Information.
