Xx adverse consequences. (a) It is not necessary under the laws of its Relevant Jurisdictions: (i) in order to enable the Purchaser to enforce its rights under any Transaction Document; or (ii) by reason of the execution of any Transaction Document or the performance by it of its obligations under any Transaction Document, that the Purchaser should be licensed, qualified or otherwise entitled to carry on business in any of its Relevant Jurisdictions. (b) The Purchaser is not and will not be deemed to be resident, domiciled or carrying on business in its Relevant Jurisdictions by reason only of the execution, performance and/or enforcement of any Transaction Document.  101

  • No Adverse Construction The rule that a contract is to be construed against the party drafting the contract is hereby waived, and shall have no applicability in construing this Agreement or the terms hereof.

  • No Adverse Litigation There shall not be pending or threatened any action or proceeding by or before any court or other governmental body which shall seek to restrain, prohibit, invalidate or collect damages arising out of the transactions contemplated hereby, and which, in the judgment of Purchaser, makes it inadvisable to proceed with the transactions contemplated hereby.
