Xxxxx Fargo Loan. Borrower represents and warrants to Lender that for purposes of Section 11.1(x) of the Xxxxx Fargo Mortgage Loan Agreement, the Pro Forma DSCR (as defined in the Xxxxx Fargo Mortgage Loan Agreement) immediately following (and taking into account) the Transaction is equal to or greater than the Pro Forma DSCR (as defined in the Xxxxx Fargo Mortgage Loan Agreement) immediately prior to the Transaction.

Xxxxx Fargo Loan. Purchaser acknowledges and agrees that the existing indebtedness as evidenced by those certain promissory notes (collectively, the “Xxxxx Fargo Notes”) in the original aggregate principal amount of $98,500,000.00, in favor of Connecticut General Life Insurance Company, Massachusetts Mutual Life Insurance Company, and American General Life Insurance Company (collectively, the “Xxxxx Fargo Lenders”), secured by that certain Deed of Trust and Security Instrument dated July 23, 1996, and recorded on August 8, 1996, as Reception No. 9600108907 in the records of the Clerk and Recorder of the City and County of Denver, Colorado (the “Xxxxx Fargo Deed of Trust”) (the “Xxxxx Fargo Loan”) will be paid off by Seller at Closing. However, Purchaser acknowledges and agrees that Purchaser shall be responsible for the payment of all costs, expenses, yield maintenance, and prepayment amounts incurred by Seller in connection with the payoff of the Xxxxx Fargo Loan.

  • Xxxxx Fargo as Lender Xxxxx Fargo, as a Lender or as a Specified Derivatives Provider, as the case may be, shall have the same rights and powers under this Agreement and any other Loan Document and under any Specified Derivatives Contract, as the case may be, as any other Lender or Specified Derivatives Provider and may exercise the same as though it were not the Administrative Agent; and the term “Lender” or “Lenders” shall, unless otherwise expressly indicated, include Xxxxx Fargo in each case in its individual capacity. Xxxxx Fargo and its affiliates may each accept deposits from, maintain deposits or credit balances for, invest in, lend money to, act as trustee under indentures of, serve as financial advisor to, and generally engage in any kind of business with the Borrower, any other Loan Party or any other affiliate thereof as if it were any other bank and without any duty to account therefor to the Issuing Bank, other Lenders, or any other Specified Derivatives Providers. Further, the Administrative Agent and any affiliate may accept fees and other consideration from the Borrower for services in connection with this Agreement or any Specified Derivatives Contract, or otherwise without having to account for the same to the Issuing Bank, the other Lenders or any other Specified Derivatives Providers. The Issuing Bank and the Lenders acknowledge that, pursuant to such activities, Xxxxx Fargo or its affiliates may receive information regarding the Borrower, other Loan Parties, other Subsidiaries and other Affiliates (including information that may be subject to confidentiality obligations in favor of such Person) and acknowledge that the Administrative Agent shall be under no obligation to provide such information to them.

  • Collateral Management Fee Borrower shall pay Lender as additional interest a monthly collateral management fee (the "Collateral Management Fee") equal to 0.0625% per month of the Fee Facility Cap. The Collateral Management Fee shall be payable monthly in arrears on the first day of each successive calendar month (starting with the month in which the Closing Date occurs).

  • Loan Fee Borrower agrees to pay Lender a single loan fee per Loan (a “Loan Fee”) equal to $0.001 per Loaned Share. The Loan Fee shall be paid by Borrower on or before the time of transfer of the Loaned Shares pursuant to Section 2(d) on a delivery-versus-payment basis through the facilities of the Clearing Organization.
