If a Director's removal shall have been recommended in accordance with the preceding sentence, then the Board of Directors shall take such corporate actions as may be required under the Company's By-Laws and the General Corporation Law of the State of Delaware to effect such removal and the Purchasers and Stockholders shall cast all of their Shares in favor of such removal.
