Xxxxxxxx Shareholder Approval. If Xxxxxxxx shareholder approval is required by Amex, this Agreement and the transactions contemplated hereby shall have been approved by the requisite vote of the shareholders of Xxxxxxxx.
Xxxxxxxx Shareholder Approval. The Xxxxxxxx Shareholder Approval shall have been obtained at the Xxxxxxxx Meeting in accordance with the Interim Order.
Xxxxxxxx Shareholder Approval. As promptly as practicable after the date hereof (an in any event, not more than 30 days after the date of this Agreement), and in accordance with applicable law, Xxxxxxxx will duly hold a meeting of the shareholders (the “Shareholders Meeting”) for the purpose of voting on the Transactions. Xxxxxxxx and the Principal Shareholders shall recommend the Transactions to the shareholders for approval. Except with the prior written consent of IntriCon, neither Xxxxxxxx nor any Principal Shareholder shall distribute any materials to the shareholders in connection with the Shareholders Meeting other than a proxy statement in form and substance reasonably satisfactory to IntriCon. After the shareholders shall have approved the Transactions, such approval shall not be revocable. Xxxxxxxx shall solicit proxies from the shareholders for use at the Shareholders Meeting.
