Xxxxxxxx & Xxxxx LLP. Each party to this Agreement, on its own behalf and on behalf of its directors, members, partners, officers, employees and Affiliates, agrees (a) that Xxxxxxxx & Xxxxx LLP has only acted as counsel to the Company and its subsidiaries in connection with this Agreement, the Ancillary Documents and the transactions contemplated hereby and thereby and has not acted as counsel to any other party, (b) each of the Sellers has had an opportunity to consult with its own counsel concerning this Agreement, the Ancillary Documents and the transactions contemplated hereby and thereby, and (c) following the Closing, Xxxxxxxx & Xxxxx LLP may serve as counsel to Brien O’Brien in his capacity as one of the Sellers’ Representatives, in connection with any litigation, claim or obligation arising out of or relating to this Agreement or the transactions contemplated by this Agreement, and each of the parties hereto hereby consents thereto and waives any conflict of interest arising therefrom.
