Xxxxxxxxxx and Zoning. The District’s obligations under this Agreement are contingent upon the full purpose annexation of the Xxxx Tract by the City and final approval by the City of planned development district (PDD) zoning for the Xxxx Tract (the “Annexation and PDD Zoning Condition”). The Developer will notify the District within five days after the Annexation and Zoning Condition has been finally satisfied. If the Annexation and Zoning Condition has not been finally satisfied on or before six months after the Effective Date, the District may terminate this Agreement. The Developer and the City agree that, once the Annexation and Zoning Condition is satisfied, (i) the zoning for the residential portion of the Xxxx Tract may not be changed or modified in a manner that would allow the Developer to place more than 106 detached single-family residential structures on the Xxxx Tract without the prior consent of District; and (ii) the zoning for the commercial portion of the Xxxx Tract may not be changed or modified in any material manner without the prior consent of the District.

No reduction in these conditions in any fashion may occur at any time without prior written agreement by the parties amending the Authorized User Agreement.
