XXXXXXXXXXXXXXX, WARRANTIES AND AGREEMENTS OF VITRIX AND OF THE SHAREHOLDERS. As an inducement to FBR to enter into and to perform under this Agreement, Vitrix and each Shareholder severally represents, warrants and agrees as follows, it being understood that each Shareholder, is making such representations and warranties only on the basis of his or its own respective knowledge (as defined in Section 9.5) and only with respect to Vitrix and such Shareholder. The representations and warranties are true in all material respects as of the date hereof and will be true and correct in all material respects on and as of the Closing Date with the same effect as though made on such date.
