Your Nominee. (a) You must arrange for the Services to be performed by [INSERT NAME] or by such other person as We may agree in writing (Nominee). (b) We require each Nominee to undertake a police check prior to commencement of the provision of the Services. If the police check is not satisfactory, this agreement may be terminated by Us immediately upon written notice. We may require you to provide another Nominee who has a satisfactory police check. (c) You warrant that each Nominee has the legal right to work in Australia. (d) We may require the removal and prompt replacement of a Nominee who is not performing their role to Our reasonable satisfaction. (e) You may request that We approve the replacement of a Nominee for any reason. (f) You must nominate a proposed replacement Nominee with comparable qualifications and experience within 3 days of receiving a request made under clause 0 or at the time of making a request under clause 0. If We notify You that a proposed replacement Nominee is not acceptable, You must propose another replacement Nominee within 3 days or receiving that notice. The proposed replacement Nominee must be approved by Us in writing. A replacement Nominee must not commence the performance of duties until approved by Us in writing.

  • Resignation of Officers and Directors The Company shall use all reasonable efforts to obtain and deliver to Parent on or prior to the Closing the resignation of each officer and director of the Company and its Subsidiaries.

  • Corporate Governance The Organisation must ensure services are delivered in a manner consistent with the NSW Health Corporate Governance and Accountability Compendium.

  • Board Membership During the Employment Term, Executive will serve as a member of the Board, subject to any required Board and/or stockholder approval.

  • Continuing Director A "Continuing Director" shall mean a Director of the Company who (i) is not an Acquiring Person, an Affiliate or Associate, a representative of an Acquiring Person or nominated for election by an Acquiring Person, and (ii) was either a member of the Board of Directors of the Company on the date of this Agreement or subsequently became a Director of the Company and whose initial election or initial nomination for election by the Company's stockholders was approved by at least two-thirds of the Continuing Directors then on the Board of Directors of the Company.

  • CHAIRMAN AND VICE-CHAIRMAN OF THE GOVERNORS The Governors shall each school year, at their first meeting in that year, elect a chairman and a vice-chairman from among their number. A Governor who is employed by the Academy Trust shall not be eligible for election as chairman or vice-chairman.
