In accordance with Rule 13d-1(f) promulgated under the Securities Exchange Act of 1934, as amended, the undersigned hereby agree to the joint filing with all other Reporting Persons (as such term as defined in the Schedule 13D referred to below) on behalf of each of them of a Statement on Schedule 13D (including any amendments thereto) with respect to the common stock, par value $.05 per share, of Buffton Corporation, a Delaware corporation. The undersigned further consent and agree to the inclusion of this Agreement as an Exhibit to such Schedule 13D. KNOW ALL MEN BY THESE PRESENTS, that as of the Effective Date, as hereinafter defined, Hotels of Distinction, Inc., a Florida corporation (hereinafter called "Assignor"), for valuable consideration paid to it by the hereinafter named Assignee, receipt of which is hereby acknowledged, hereby assigns and transfers to Alan Tremain (hereinafter referred to as "Assignee"), all of Assignor's right, title and interest in, to and by virtue of that certain Lease Agreement dated April 17, 1992, by and between Dean Vegosen, Trustee, as Lessor (the "Lessor") and Assignor as Lessee (the "Lease"), which Lease has been amended pursuant to that certain Amendment to Lease Agreement dated April 8, 1997, by and between Lessor and Assignor (the "Lease Amendment").
