Reference is made to that certain Agreement, dated as of October 31, 1997 (the "Agreement"), by and among Digitec 2000, Inc. ("Digitec") and yourselves, which Agreement contemplated the acquisition of all of the issued and outstanding capital stock of Ameridial Inc. ("Ameridial") by Digitec.
