Sales Plan, adopted May 11, 2015 (the “Sales Plan”), between Terence E. Adderley Revocable Trust K dated March 4, 2002, as amended (“Seller”) and J.P. Morgan Securities LLC (“JPMS”). The primary purpose of the Sales Plan is to provide liquidity to repay indebtedness incurred in order to pay off the remaining estate taxes in connection with the estate of Margaret Kelly.
