THIS AMENDED AND RESTATED AGREEMENT AND PLAN OF MERGER CONVERSION (this “Agreement”) is entered into as of this 15th day of December 2022, by and among Oconee Financial Corporation (“Oconee”), a Georgia corporation, Oconee State Bank (the “Bank”), a Georgia state chartered commercial bank and the wholly owned subsidiary of Oconee, and Elberton Federal Savings and Loan Association (“Elberton”), a federal mutual savings association.
