This proposal (the “Term Sheet”) summarizes the principal terms with respect to a business relationship between Cantata Technology, Inc. and its affiliates and subsidiaries (collectively, “Cantata”), formerly known as Excel Switching Corporation and Brooktrout Technology, and InterMetro Communications, Inc.
