This agreement (the “Agreement”) sets forth the terms and conditions upon which Kyle E. Brown (the “Selling Stockholder”) has engaged Raymond James & Associates, Inc. (the “Sales Agent”) to serve as the Selling Stockholder’s exclusive agent with respect to the placement of up to 1,750,000 shares (the “Shares”) of common stock, $0.01 par value per share, of Interactive Intelligence, Inc.
