This Sale and Servicing Agreement (the “Agreement”) is entered into effective as of July 12, 2006, among HSBC Home Equity Loan Trust (USA) 2006-1, a Delaware statutory trust (the “Trust”), HSBC Home Equity Loan Corporation I, a Delaware corporation, as depositor (the “Depositor”), HSBC Finance Corporation, a Delaware corporation, as servicer (the “Servicer”), HSBC Bank USA, National Association, a national banking association, as administrator (the “Administrator”) and JPMorgan Chase Bank, National Association, a banking association organized under the laws of the United States, as Indenture Trustee on behalf of the Noteholders (in such capacity, the “Indenture Trustee”).
