This SECURITY AGREEMENT is made and entered into as of June 30, 2010, by Reef Oil & Gas Income and Development Fund III, L.P., a Texas limited partnership (“Debtor”), with its address at 1901 N. Central Expressway, Suite 300, Dallas, Texas 75080, in favor of Texas Capital Bank, N.A., a national banking association (“Secured Party”), with its address at 2000 McKinney Avenue, Suite 700, Dallas, Texas 75201. Certain terms used herein are defined in Article I hereof

This PURCHASE and SALE AGREEMENT (the "Agreement") is made this 23rd day of June, 2010, by and between LETT OIL & GAS, L.P., a Texas limited partnership whose address is 301 Commerce Street, Suite 1830, Ft. Worth, Texas 76102 ("Seller"), and RCWI, L.P., a Texas limited partnership located at 1901 North Central Expressway, Suite 300, Richardson, Texas 75080 (the "Buyer"). The Buyer and Seller may be collectively referred to herein as the "Parties" and individually as a "Party."

Reference is made to that certain Purchase and Sale Agreement dated December 18, 2009 and effective as of December 1, 2009 by and between RCWI, L.P. (“Buyer”) and Azalea Properties, Ltd. (“Seller”) providing for the purchase by Buyer of certain assets of Seller (the “PSA”). All capitalized terms used herein and not otherwise defined shall have the meanings set forth in the Purchase Agreement.

CONSULTING AGREEMENT

This Consulting Agreement (the “Agreement”) is entered into effective as of September 1, 2006 (the “Effective Date”), between Reef Exploration, L.P., a Texas limited partnership (the “Company”) and William R. Dixon, dba, DXN Associates, (the “Consultant”). Company and Consultant may be referred to collectively in this Agreement as the “Parties” or individually as a “Party.” The Parties desire to enter into an agreement setting forth the terms and conditions under which Consultant will provide services to Company. For and in consideration of the mutual covenants and agreements set out in this Agreement, the Parties agree as follows:

Terms defined in the Credit Agreement between such lender and such borrower dated June 30, 2010, (as amended prior to the date of this Amendment, the “Credit Agreement”), are used herein as therein defined, unless otherwise defined herein or the context otherwise requires.

THIRD AMENDMENT TO CREDIT AGREEMENT

This Third Amendment to Credit Agreement (“Amendment”) is entered into between Texas Capital Bank, N.A., a national banking association, as lender, and Reef Oil & Gas Income and Development Fund III, L.P., a Texas limited partnership, as borrower, and is dated April 30, 2013. Terms defined in the Credit Agreement between such lender and such borrower dated June 30, 2010, (as amended prior to the date of this Amendment, the “Credit Agreement”), are used herein as therein defined, unless otherwise defined herein or the context otherwise requires.

THIS AGREEMENT, made and entered into as of the 1st day of January, 1978, by and between Amoco Production Company, hereinafter referred to as “Seller”, and AMOCO PRODUCTION COMPANY, individually to the extent of its undivided interest in the Slaughter Gasoline Plant and as agent for the other owners of interest therein to the extent of each of their respective undivided interests in said Plant, hereinafter referred to as “Buyer.”
