THIS SHARE EXCHANGE AGREEMENT (hereinafter the "Agreement") is made and entered into this 16th day of June, 2010, by and among The Forsythe Group Two, Inc., a Nevada corporation ("Acquiror"), Quality Investment Services, LLC, the holder of all of the outstanding shares of common stock of Acquiror ("Acquiror Stockholder"), BioFuel Technologies, Inc., a Georgia corporation (the "Company"), all of the members of the Board of Directors of the Company (collectively "Company Principals"), and the holders of all of the outstanding securities of the Company (including the Company Principals) who are identified on Schedule 1.01 (each a "Company Shareholder" and collectively "Company Shareholders").
