This Employment Agreement (this “Agreement”) is made effective as of , 2009 (the “Effective Date”), by and between Versailles Savings and Loan Company, an Ohio chartered stock savings and loan company (the “Bank”) and Douglas P. Ahlers (“Executive”). The Bank and Executive are sometimes collectively referred to herein as the “parties.” Any reference to the “Company” shall mean Versailles Financial Corporation, the holding company of the Bank. The Company is a signatory to this Agreement for the purpose of guaranteeing the Bank’s performance hereunder.

Keller & Company, Inc. (hereinafter referred to as KELLER) hereby proposes to prepare an independent conversion appraisal of Versailles Savings & Loan Company (hereinafter referred to as “Versailles Savings”), relating to the mutual to stock conversion of Versailles Savings and minority stock offering (the “Stock Offering”) of Versailles Savings’ holding company. KELLER will provide a pro forma valuation of the market value of the shares of Versailles Savings’ holding company to be sold in connection with the standard conversion.
