This SHARE EXCHANGE AGREEMENT (this “Agreement”), dated as of November 1, 2012, is by and among Glorious Pioneer Investments Ltd., a British Virgin Islands company (the “Shell Company”), the shareholder of the Shell Company set forth on Schedule A hereto (the “Shell Company Shareholder”), Oriental Honour International Group Limited, a Hong Kong company (“Oriental”), and the shareholders of Oriental set forth on Schedule A hereto (the “Oriental Shareholders”).
