DECLARATION OF TRUST, effective as of August 2, 2010, between Affiliated Managers Group, Inc., a Delaware corporation, as sponsor (the “Sponsor”), John Kingston, III, an individual, as administrator (the “Initial Administrator”), Christiana Bank & Trust Company, a Delaware banking corporation, as trustee (the “Delaware Trustee” and, together with such other trustees of the Trust as are appointed from time to time, the “Trustees”).
