This Subscription Agreement (this “Subscription Agreement”) is being delivered to the purchaser identified on the signature page to this Agreement (the “Subscriber”) in connection with its investment in Bespoke Extracts, Inc., a Nevada corporation (the “Company”). The Company is conducting a private placement (the “Offering”) of units (“Units”) in an amount up to $360,000 per Unit (the “Purchase Price”). Each Unit will consist of (i) 2,700,000 shares of the Company’s common stock (the “Common Stock”), par value $0.001 per share (the “Issuable Shares”), (ii) a debenture in the principal amount of $540,000, which debenture shall be convertible into shares of the Company’s Common Stock (the “Debenture Shares”), substantially in the form attached hereto as Exhibit A (the “Debentures”) and (iii) a three (3) year warrant to purchase up to 900,000 shares of the Company’s Common Stock (the “Warrant Shares” and with the Issuable Shares and the Debenture Shares, the “Shares”) at a per share exer
