This letter sets forth the agreement between First Bank Richmond, Richmond, Indiana (the “Bank”), the wholly-owned subsidiary of Richmond Mutual Bancorporation, Inc. (the mid-tier stock holding company), which in turn is wholly-owned by First Mutual of Richmond, Inc. (the mutual holding company), and RP® Financial, LC. (“RP Financial”). In this regard, the Bank has engaged RP Financial to provide the conversion appraisal services in conjunction with the second step stock offering whereby the Bank will become a wholly-owned subsidiary of a fully public stock bank holding company (the “Company”).
