This Non-Statutory Stock Option (“NSO”) award agreement (“NSO Award” or “Agreement”) is and will be subject in every respect to the provisions of the ECB Bancorp, Inc. 2023 Equity Incentive Plan (the “Plan”) which are incorporated herein by reference and made a part hereof, subject to the provisions of this Agreement. This AGREEMENT is made effective as of December 21, 2022 (“Effective Date”), by and between EVERETT CO-OPERATIVE BANK, a Massachusetts chartered stock savings bank (the “Bank”) and JOHN MIGLIOZZI (“Executive”). Any reference to the “Company” herein shall mean ECB BANCORP, INC. or any successor thereto. The Company has executed this Agreement solely for purposes of guaranteeing the performance of the Bank hereunder.

This letter sets forth the agreement between Everett Co-operative Bank, Everett, Massachusetts (the “Bank”), and RP® Financial, LC. (“RP Financial”), whereby RP Financial will provide the independent conversion appraisal services in conjunction with the conversion transaction by the Bank.
