This AGREEMENT AND PLAN OF MERGER, dated as of August 2, 2001 [as amended as of September 6, 2001] (this “Agreement”), is among LINCOLN SNACKS COMPANY, a Delaware corporation (the “Company”), LINCOLN SNACKS ACQUISITION CORP., a Delaware corporation (“Lincoln Acquisition”), and BRYNWOOD PARTNERS III L.P., a Delaware limited partnership (“Brynwood”).

Lincoln Snacks Company has entered into an Agreement and Plan of Merger dated as of August 2, 2001 (the “Merger Agreement”) with its majority stockholder, Brynwood Partners III L.P. and Lincoln Snacks Acquisition Corp., a wholly owned subsidiary of Brynwood. The Merger Agreement provides that, at the effective time of the merger (the “Merger”) of Lincoln Snacks Acquisition Corp. into Lincoln Snacks, each outstanding share of common stock of Lincoln Snacks (other than shares owned by stockholders who have exercised appraisal rights under Delaware law and other than Brynwood) would be converted into the right to receive $3.50 in cash. Thereafter, Lincoln Snacks would be a wholly owned subsidiary of Brynwood.

Please refer to the Amendment to Exclusive Distribution Agreement dated as of February 28, 1997 (the "Amendment") between Lincoln Snacks Company ("Lincoln") and Planters Company, a unit of Nabisco, Inc. ("Planters").

Reference is made to the Revolving Credit, Term Loan and Security Agreement between you and BNY Financial Corporation, as successor-in-interest to The Bank of New York Commercial Corporation, dated December 3, 1993, as supplemented and amended (the "Loan Agreement"). You have requested that we waive a certain covenant within the Loan Agreement and consent to a certain transaction, to the extent and as more fully described in this letter. Initially capitalized terms used but not otherwise defined herein shall have the meanings given such terms in the Loan Agreement.

Not withstanding anything contrary to Part 1, Paragraph 1.1 of the Exclusive Distribution Agreement dated as of June 6, 1995, between Lincoln Snacks Company ("Lincoln") and Planters Company, a unit of Nabisco, Inc. ("Planters"), as amended, the parties hereby agree that Fiddle Faddle product may be sold to Target Stores ("Target") on behalf of Lincoln other than by Planters prior to December 31, 1997.
