Pursuant to the EFFECTIVE DATE Section of the Lockbox Service Agreement dated September 21, 1994, between Accolade Fund (the "Trust") and United Shareholder Services, Inc. (the "Transfer Agent"), please be advised that the Trust has established two new series of its shares, namely the MegaTrends Fund and the Adrian Day Global Opportunity Fund, and be further advised that the Trust desires to retain the Transfer Agent to render services under the Lockbox Service Agreement to these Funds at the fee stated in Exhibit A of the Lockbox Service Agreement.

This Agreement is made and entered into this 21st day of September, 1994 by and between Accolade Funds, a Massachusetts business trust having its principal place of business at 7900 Callaghan Road, San Antonio, Texas, hereinafter called the "Fund" and United Shareholder Services, Inc., a corporation organized under the laws of Texas having its principal place of business at the same address as the Fund, hereinafter called "USSI".
