THIS AMENDED AND RESTATED SECURITIES LENDING AGREEMENT, dated as of the ___day of ____, 2010 (the “Agreement”), amends and restates the previous securities lending agreement between U.S. Bancorp Asset Management, Inc., a Delaware corporation (now known as FAF Advisors, Inc. (“FAF Advisors”)), and Baird Funds, Inc., a Wisconsin corporation (“Baird Funds”), made in 2006 (the “Prior Agreement”), assigns the Prior Agreement from FAF Advisors, to U.S. Bank National Association, a national banking association (“U.S. Bank”), and is by and between U.S. Bank and Baird Funds, on behalf of each of its series identified in Exhibit A attached hereto (each such series hereinafter referred to as a separate “Customer”).
