We are the principal underwriter, as defined in the Investment Company Act of 1940, of the shares of the City National Rochdale International Trade Fixed Income Fund (the “Fund”), a Delaware business trust. The Fund privately issues one class of shares. Shares of the Fund will not be made publicly available. For purposes of the Selling Group Agreement (“Agreement”), all shares of the Fund are referred to as the “Shares.” We understand that you are a member of the Financial Industry Regulatory Authority (“FINRA”) and, on the basis of such understanding, invite you to become a member of the Selling Group to distribute the Shares of the Fund. RIM Securities LLC (“RIM”), a wholly owned subsidiary of City National Bank, and (collectively referred to as “the Parties”) agree on the following terms and conditions (terms used but not otherwise defined herein shall have the meaning given them in the Memorandum (as defined below)):
