THIS DISTRIBUTION AGREEMENT (“Agreement”) is by and between Quasar Distributors, LLC (the “Distributor”), Professionally Managed Portfolios (“Fund Company”) and Becker Capital Management, Inc. (“Adviser”).

THIS OPERATING EXPENSES LIMITATION AGREEMENT (the “Agreement”) is effective as of February 28, 2021, by and between Professionally Managed Portfolios, a Massachusetts business trust (the “Trust”), on behalf of each series of the Trust listed on Schedule A, which may be amended from time to time (each a “Fund”), and the Advisor of each Fund, Becker Capital Management, Inc. (the “Advisor”).
