THIS WARRANT TO PURCHASE COMMON STOCK (the “Warrant”) certifies that, for value received, Maxim Partners LLC, or its assigns (the “Holder”), is entitled, upon the terms and subject to the limitations on exercise and the conditions hereinafter set forth, at any time on or after March 1, 2022 (the “Initial Exercise Date”) and, in accordance with FINRA Rule 5110(g)(8)(A), prior to at 5:00 p.m. (New York time) on the date that is five (5) years following the Effective Date (the “Termination Date”) but not thereafter, to subscribe for and purchase from GENERATION INCOME PROPERTIES, INC., a Maryland corporation (the “Company”), up to 135,000 shares of common stock, par value $0.01 per share (“Common Stock”), of the Company, as subject to adjustment hereunder (the “Warrant Shares”). Generation Income Properties, Inc., a Maryland corporation (the “Company”), proposes, subject to the terms and conditions contained herein (this “Agreement”), to sell to you and the other underwriters named on Schedule 1(a) to this Agreement (the “Underwriters”), for whom Maxim Group LLC (“Maxim”) is acting as Representative (the “Representative,” “you” or similar terminology), an aggregate of 1,500,000 units (the “Firm Units”), with each Unit consisting of one share of the Company’s common stock, par value $0.01 per share (the “Common Stock”), and one warrant to purchase one share of Common Stock, in the form attached hereto as Exhibit C (“Warrant”).
