THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 25th day of March, 2010, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Princeton Futures Strategy Fund (the “Fund”) a series of the Trust, and the advisor of the Fund, Mount Yale Asset Management, LLC (the “Advisor”).

THIS AGREEMENT is made and entered into as of the 25th day of March, 2010, by and between Mount Yale Asset Management (the “Adviser”), a corporation registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and Congress Asset Management Company, LLP, a limited liability partnership organized under the laws of Delaware (the “Sub adviser”) and also registered under the Advisers Act, with respect to Princeton Futures Strategy Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).

THIS AGREEMENT is made and entered into as of the 11th day of June, 2010, by and between Mount Yale Asset Management, LLC (the “Adviser”), a Delaware limited liability company registered under the Investment Advisers Act of 1940, as amended (the “Advisers Act”), and 6800 Capital, L.L.C., a limited liability company organized under the laws of Delaware (the “Subadviser”) and also registered under the Advisers Act, with respect to Princeton Futures Strategy Fund (the “Fund”), a series of the NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”).
