AGREEMENT, made as of August 12, 2010, as revised March 23, 2011 between Northern Lights Fund Trust, a Delaware statutory trust (the "Trust"), and Astor Asset Management, LLC, a limited liability company organized and existing under the laws of the State of Illinois (the Adviser") located at 111 S. THIS OPERATING EXPENSES LIMITATION AND SECURITY AGREEMENT (the “Agreement”) is effective as of the 26th day of June, 2009, as revised on December 14, 2009, March 5, 2010 and March 23, 2011, by and between NORTHERN LIGHTS FUND TRUST, a Delaware statutory trust (the “Trust”), on behalf of Astor Long/Short ETF Fund, Astor Active Income ETF Fund and Astor Preferred Growth ETF Fund (each a “Fund”, collectively the “Funds”) each a series of the Trust, and the advisor of the Fund, Astor Asset Management, LLC (the “Advisor”).
